Agreement to Terms
By accessing or using ReVoice’s services (“Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use our Services.
About Our Services
ReVoice is a service provided by Midstride Technologies Inc. and provides AI-powered voice agent services for businesses. We configure, deploy, and manage voice agents that can answer phone calls, book appointments, answer questions, and perform other customer service functions on behalf of our business clients.
Our Services utilize third-party AI platforms and technologies, including but not limited to Retell.ai and other voice AI services, to deliver these solutions.
Acceptance and Modifications
Changes to Terms
We may modify these Terms at any time. We will notify you of material changes via email or through our platform. Continued use of our Services after changes constitutes acceptance of the modified Terms.
User Accounts and Responsibilities
Account Registration
- You must provide accurate, current, and complete information
- You are responsible for maintaining the confidentiality of your account credentials
- You must notify us immediately of any unauthorized use of your account
Acceptable Use
You agree to use our Services only for legitimate business purposes and not for illegal activities, disrupting our Services, unauthorized access attempts, or in ways that could damage our business or reputation.
Service Availability and Performance
Service Levels
- We strive to provide reliable service but do not guarantee 100% uptime
- Scheduled maintenance may temporarily interrupt service
- Service availability may depend on third-party platforms and internet connectivity
No Warranties
Our Services are provided “as is” and “as available.” We make no warranties, express or implied, including but not limited to:
- Merchantability or fitness for a particular purpose
- Accuracy, reliability, or completeness of our Services
- Uninterrupted or error-free operation
- Security or freedom from viruses or harmful components
Limitation of Liability
Exclusion of Damages
To the maximum extent permitted by law, ReVoice AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Lost profits, revenue, or business opportunities
- Data loss or corruption
- Business interruption
- Cost of substitute services
- Reputational harm
Liability Cap
Our total liability for all claims related to our Services shall not exceed the amount you paid us in the 12 months preceding the claim.
Third-Party Services
We are not responsible for the performance, availability, or actions of third-party AI platforms, integrations, or other services that we may use or integrate with.
Payment and Billing
Fees and Billing
- Service fees are as specified in your subscription plan or service agreement
- All fees are in Canadian dollars unless otherwise specified
- Fees are charged monthly to the credit card provided unless an invoice is requested
- We may change our fees with 30 days’ notice
Late Payments
- Accounts overdue by 30 days may be suspended
- We may charge interest on overdue amounts at a rate of 1.5% per month
- You are responsible for all collection costs and legal fees for overdue accounts
Taxes
You are responsible for all applicable taxes, duties, and government fees related to your use of our Services.
Intellectual Property
Our Rights
ReVoice AI and our licensors own all rights, title, and interest in our Services, including:
- Software, algorithms, and technology
- Trade secrets and proprietary methods
- Trademarks, logos, and branding
- Documentation and training materials
Your Content
- You retain ownership of data and content you provide to us
- You grant us a license to use your content solely to provide our Services
- You represent that you have the right to provide any content to us
- You are responsible for ensuring your content does not infringe third-party rights
Feedback
Any feedback, suggestions, or ideas you provide about our Services become our property and may be used without compensation or attribution.
Data and Privacy
Data Processing
- Our collection and use of personal information is governed by our Privacy Policy
- You acknowledge that voice calls may be recorded and processed by third-party AI platforms
- You acknowledge and agree that it is your sole responsibility to obtain any required consents from your customers or call participants in connection with the recording, processing, or storage of voice calls by our Services or any third-party platforms we use
- You agree to comply with applicable privacy and data protection laws
Data Security
While we implement reasonable security measures, you acknowledge that:
- No security system is completely secure
- Data transmission over the internet carries inherent risks
- You use our Services at your own risk regarding data security
Indemnification
You agree to indemnify, defend, and hold harmless ReVoice AI, our officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of our Services
- Your violation of these Terms
- Your violation of any law or third-party rights
- Content you provide or actions you take using our Services
- Including, but not limited to, any claims arising out of violations of consent, privacy laws, misconfigurations of your AI agent, or content generated through or in connection with your use of our Services
Termination
Termination by You
- You may terminate your account at any time by contacting us
- Termination does not relieve you of payment obligations for services already provided
- Some provisions of these Terms survive termination
Termination by Us
We may suspend or terminate your access immediately if you:
- Violate these Terms
- Fail to pay fees when due
- Use our Services in ways that could harm us or others
- Become insolvent or cease business operations
Effect of Termination
Upon termination:
- Your right to use our Services ends immediately
- We may delete your account and data after a reasonable period
- You remain liable for all charges incurred before termination
- Confidentiality, indemnification, and limitation of liability provisions survive
Force Majeure
We are not liable for delays or failures in performance due to causes beyond our reasonable control, including but not limited to:
- Natural disasters, pandemics, or government actions
- Internet or telecommunications failures
- Third-party service provider outages
- Cyberattacks or security incidents
Dispute Resolution
Governing Law
These Terms are governed by the laws of British Columbia and Canada, without regard to conflict of law principles.
Jurisdiction
Any disputes shall be resolved in the courts of British Columbia, Canada. You consent to the jurisdiction of these courts.
Limitation Period
Any claim must be brought within one year of when the claim arose, or it will be barred regardless of any statute or law to the contrary.
General Provisions
Entire Agreement
These Terms, together with our Privacy Policy and any service agreements, constitute the entire agreement between us and supersede all prior agreements.
Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force and effect.
Assignment
You may not assign these Terms without our written consent. We may assign our rights and obligations without restriction.
Waiver
Our failure to enforce any provision does not constitute a waiver of our right to enforce it later.
